1. General Provisions

These Terms of Service (hereinafter referred to as "Terms") govern the relationship between PAUI GmbH, Hauptstraße 1, 1010 Wien, Austria (hereinafter referred to as "PAUI", "we", "us" or "our") and you, the user of PAUI3 software and services (hereinafter referred to as "User", "you" or "your").

By using our software, website, or services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services.

2. Description of Service

PAUI3 is a self-sustaining automation software system that continuously cycles between operational modes to detect and execute tasks without human intervention. The software is designed to run perpetually and autonomously.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. License and Use Restrictions

Subject to these Terms, PAUI grants you a limited, non-exclusive, non-transferable, revocable license to use the PAUI3 software for your internal business or personal purposes.

You agree not to:

• Copy, modify, or create derivative works based on the PAUI3 software
• Reverse engineer, decompile, or attempt to extract the source code of the software
• Use the software for any illegal purpose or in violation of any local, state, national, or international law
• Transfer, sublicense, lease, lend, rent or otherwise distribute the software to any third party
• Use the software in any manner that could damage, disable, overburden, or impair PAUI services

4. User Obligations

As a user of PAUI3, you agree to:

• Provide accurate and complete information when communicating with us
• Be responsible for maintaining the confidentiality of any credentials or access methods to the software
• Be solely responsible for all activities that occur under your account or with your software installation
• Notify us immediately of any unauthorized use of your account or any other breach of security
• Ensure that your use of the software complies with all applicable laws and regulations

5. Intellectual Property

The PAUI3 software, including but not limited to its source code, design, structure, and documentation, is owned by PAUI and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you under these Terms are reserved by PAUI.

The PAUI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PAUI or its affiliates. You may not use such marks without the prior written permission of PAUI.

6. Limitation of Liability

To the maximum extent permitted by applicable law, PAUI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the PAUI3 software or services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available via the service

In no event shall PAUI's total liability to you for all claims exceed the amount you paid, if any, for using our services during the twelve (12) months prior to the cause of action arising.

7. Warranty Disclaimer

THE PAUI3 SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PAUI does not warrant that the service will function uninterrupted, secure or available at any particular time or location, or that any errors or defects will be corrected.

8. Changes to Terms

PAUI reserves the right to modify or replace these Terms at any time at its sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
